Terms of Service

1. Agreement to Terms

By accessing or using the services provided by AspireP413 ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. We are a software development company based in Belize, serving clients locally and internationally.

2. Services

AspireP413 provides custom software development services, including but not limited to:

• Web application development
• Mobile application development
• Website design and development
• API development and integrations
• Software consulting and maintenance

Specific deliverables, timelines, and terms for individual projects will be outlined in separate project agreements or statements of work.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information required for your project
• Respond to requests for feedback and approvals in a timely manner
• Ensure you have the right to use any content, materials, or data you provide
• Make payments according to the agreed-upon schedule
• Not use our services for any unlawful purpose

4. Intellectual Property

Client Materials

You retain all rights to any content, data, or materials you provide to us. You grant us a limited license to use these materials solely for the purpose of providing our services to you.

Deliverables

Upon full payment, you will own the custom code and deliverables created specifically for your project, unless otherwise specified in the project agreement.

Pre-existing Materials

We retain ownership of any pre-existing code, frameworks, libraries, tools, or methodologies used in your project. We grant you a perpetual, non-exclusive license to use these materials as part of your delivered project.

5. Payment Terms

• Payment terms will be specified in individual project agreements
• Invoices are due within the timeframe specified (typically 14-30 days)
• Late payments may incur interest charges as specified in the project agreement
• We reserve the right to suspend work on projects with outstanding payments
• All fees are non-refundable unless otherwise specified in writing

6. Project Changes and Revisions

Changes to project scope, requirements, or specifications may affect timelines and costs. Any significant changes will be documented in a change order and must be approved by both parties before implementation. Minor revisions may be included as specified in individual project agreements.

7. Confidentiality

We agree to keep confidential any proprietary information, trade secrets, or sensitive business information you share with us during the course of our engagement. This obligation continues after the termination of our services.

8. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. We will correct any defects in our deliverables reported within 30 days of delivery at no additional cost.

EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASPIREP413 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless AspireP413, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

11. Termination

Either party may terminate a project agreement with written notice as specified in the individual project agreement. Upon termination:

• All outstanding payments become immediately due
• We will deliver any completed work up to the termination date
• You will pay for all work completed and expenses incurred
• Confidentiality obligations survive termination

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Belize, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of Belize, unless otherwise agreed in writing.

13. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, or strikes.

14. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
